Grey Matter Neurosciences (“we”, “us” or “our”) values and respects your privacy. This Privacy Policy describes the manner in which we collect, use and disclose your personal information when you visit our website located at https://greymatterneurosciences.com/ (our “Website”), use our online registry portal available at https://greymatterneurosciences.com/clinical-trials (the “Registry Portal”), or otherwise interact with us (collectively, the “Services”).
This Privacy Policy also explains your privacy rights and how you can contact us.
COLLECTION AND USE OF YOUR PERSONAL INFORMATION
We may collect and use personal information when you:
Visit Our Website: You do not have to register to visit or use our Website (with the exception of the Registry Portal, described below). However, we do automatically collect certain information when you visit our Website. Please see Information We Collect When You Visit Our Website below for details about the personal information we collect when you visit and use our Website, including through the use of cookies and similar technologies, and the choices you have with regards to that collection.
Register for and Manage Your Account: To register for and manage your account as a user of the Services, you will be asked to provide certain personal information, such as first and last name and email address. The personal information you provide can give you access to different functionalities of the Services that are available to you as a registered user.
Use the Registry Portal: If you are interested in participating in clinical research, you will be asked to use the Registry Portal to provide us with your name, contact information and certain additional information that is relevant to the clinical research, such as demographic information and information about your health. We collect and use this information to assess your preliminary suitability for clinical research. With your express consent, if you meet preliminary criteria for an investigator-initiated clinical study at a Canadian academic research site, we will securely disclose your name, contact details and the minimum necessary eligibility responses to that site so that it may contact you about possible participation. Participation and your consent are voluntary, and you may withdraw at any time, without penalty, by emailing privacy@greymatterneurosciences.com or otherwise following the guidance in this Privacy Policy. We handle personal health information in accordance with applicable privacy legislation, including Ontario’s Personal Health Information Protection Act (PHIPA), and consistent with the principles of TCPS 2.
When you provide your information through the Registry Portal, you will also be given the opportunity to provide a separate express consent for us to use your questionnaire information, including your contact details and eligibility responses, to assess your potential suitability for future clinical trials sponsored by Grey Matter Neurosciences or its affiliates, and to contact you about possible participation in those trials.
You will separately be asked to consent to receive electronic messages from us about those future clinical trials. That consent is express consent under Canada’s Anti-Spam Legislation (CASL). Our messages will identify Grey Matter Neurosciences or the applicable sender, include contact information and provide a working unsubscribe mechanism. You may withdraw your consent to receive electronic messages at any time by clicking unsubscribe or emailing privacy@greymatterneurosciences.com (see Receive Marketing and Other Communications below). Withdrawing your consent to electronic messages does not, on its own, withdraw your consent to be assessed for and contacted about future Grey Matter Neurosciences trials.
These consents are separate from, and independent of, your consent to assessment for, and potential disclosure to, a Canadian academic research site conducting an investigator-initiated clinical study, and withdrawing either does not affect the other. We provide this service independently of any specific clinical research or clinical trial sponsor, and we are responsible for the personal information that you choose to share with us for this purpose. If you withdraw your consent, we will stop using your information for the purposes described above, except where retention or use is required or permitted by law, and actions taken before withdrawal cannot be reversed.
Receive Marketing and Other Communications:
Register for or attend an event: If you attend one of our events or webinars, we may collect your name and contact information and any other information you choose to provide to us for the purpose of communicating with you about the event or webinar, as well as future events and webinars.
Provide us with feedback or a review: When you provide us with feedback or a review, we may use the information you provide to help us understand our users’ preferences and needs, and to develop and improve the Services and our other offerings accordingly. With your consent, we may share or publish your feedback or reviews on the Website or in other promotional materials.
Apply for a Job: In connection with a job application at Grey Matter Neurosciences or a related enquiry, you may provide us with certain personal information, such as that contained in a resume, cover letter, or similar employment-related materials. We use this information for the purpose of processing and responding to your application for current and future career opportunities at Grey Matter Neurosciences.
Contact us: When you contact us with a comment, question or complaint, you may be asked for information that identifies you, such as your name, email address, address and a telephone number, along with additional information we need to help us promptly answer your question or respond to your comment or complaint. We may retain this information to assist you in the future. We may monitor and record our telephone conversations with you for documentation, training, and quality assurance purposes.
Anonymous Data: We may modify or aggregate your personal information to generate anonymous data that cannot reasonably be associated with you. We do this to protect your privacy and the security of your information, and to use or share the anonymous data, including to conduct research and analytics, identify usage trends, make improvements to the Services, and develop new offerings. We may also publish aggregated statistics and insights derived from the use of the Services.
SHARING OF YOUR PERSONAL INFORMATION
Canadian Academic Research Sites: When you provide us with personal information for the purpose of participating in clinical research, and where you have given your express consent, we may share your personal information with a Canadian academic research site conducting an investigator-initiated clinical study for which you meet preliminary criteria, so that the site may contact you about possible participation. We disclose only the minimum necessary information for pre-screening purposes, namely your name, contact details and the minimum necessary eligibility responses, and we use appropriate safeguards to protect your information.
If you give your separate express consent to be considered for, and contacted about, future clinical trials sponsored by Grey Matter Neurosciences or its affiliates, we will use the information you have provided to us for that purpose. We will not disclose your personal information to any other research site or clinical trial sponsor on the basis of that consent; any such disclosure would be made only with your further express consent. See Use the Registry Portal above.
Service Providers: Your personal information will be transferred (or otherwise made available) to certain third parties (including affiliates) that provide services on our behalf, such as hosting our Website, IT support, data storage, and providing analytics and marketing services. We and our service providers may access and otherwise process your personal information in the United States and other foreign jurisdictions outside of Canada where we or our service providers are located.
Legal and Compliance: We and our Canadian, American and other foreign service providers may provide your personal information in response to a search warrant or other legally valid inquiry or order, or to another organization for the purposes of investigating a breach of an agreement or contravention of law or detecting, suppressing or preventing fraud, or as otherwise may be required or permitted by applicable Canadian, U.S. or other law or legal process, which may include lawful access by U.S. or other foreign courts, law enforcement or other government authorities. Your personal information may also be disclosed where necessary for the establishment, exercise or defense of legal claims and to investigate or prevent actual or suspected loss or harm to persons or property.
Business Transactions: We may transfer any personal information we have about you in connection with a proposed or completed merger, acquisition, corporate reorganization, financing or sale (including transfers made as part of insolvency or bankruptcy proceedings) involving all or part of Grey Matter Neurosciences.

Your Rights and Choices
Exercising Your Privacy Rights
Subject to exceptions under applicable law and depending on the jurisdiction in which you are based, you may have certain rights in respect of your personal information, such as rights to access, update and correct inaccuracies in, and withdraw consent to our collection, use and disclosure of, your personal information in our custody or control. You may make such a request or withdraw your consent by emailing privacy@greymatterneurosciences.com or writing to us using the contact information under Contact Us below. We may request certain personal information for the purpose of verifying your identity before responding to your request. If you withdraw a consent given through the Registry Portal, we will stop using your information for the purpose to which that consent relates and, where applicable, will request that any collaborating academic research site cease contacting you and delete your information, except where retention or use is required or permitted by law. Actions taken before we receive your withdrawal cannot be reversed.
Marketing Communications
As indicated above, you can unsubscribe from receiving marketing communications from us at any time by clicking the “unsubscribe” link included at the bottom of every marketing email or by replying “STOP” to any of our text messages. Alternatively, you can opt out of receiving our communications by sending us an email at privacy@greymatterneurosciences.com. Please note that you may continue to receive transactional or account-related communications from us. Unsubscribing from our electronic messages about future Grey Matter Neurosciences clinical trials does not withdraw your separate consent to be assessed for, and potentially referred to, a Canadian academic research site conducting an investigator-initiated clinical study; to withdraw that consent, please email privacy@greymatterneurosciences.com (see Exercising Your Privacy Rights above).
Security Safeguards and Retention
The security of your personal information is important to us, but please remember that no method of transmission over the Internet or of electronic storage is 100% secure regardless of the measures an organization puts in place. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.
We apply administrative, technical, and physical safeguards that are designed to safeguard the personal information in our custody and control against theft, loss and unauthorized access, use, modification and disclosure, including encryption in transit, access controls on a need‑to‑know basis, and regular security testing.
Our record retention policies prohibit Grey Matter Neurosciences from retaining personal information longer than necessary for the purposes set out in this Privacy Policy or as otherwise required to meet legal or business requirements.

The Services may contain links to other websites that are not owned or operated by us. We provide links to such websites as a convenience to the user; these links are not intended as an endorsement of or referral to the linked website. If you click on a third-party link, you will be directed to that third party’s site. Linked websites have separate and independent privacy policies, notices and terms of use over which we have no control. We strongly encourage you to review the privacy policy of every site you visit.
We have no control over and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.
